Welcome to LiveWay. These Terms of Service ("Terms") govern your access to and use of the LiveWay website, applications, and services (collectively, the "Service") operated by LiveWay, Inc. ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. This requirement exists because use of the Service may involve entering into legally binding agreements, making purchases, creating public event listings, and claiming or managing venue profiles. These activities require the legal capacity to enter into contracts. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to be bound by these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

Fraudulent Activity

  • Create fake, misleading, or fraudulent events
  • Claim ownership or management of venues you do not own, operate, or have authorization to represent
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Post false, inaccurate, or misleading information

Prohibited Content

  • Upload or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Post content that infringes on any intellectual property rights of others
  • Distribute spam, chain letters, or unsolicited promotional material
  • Upload viruses, malware, or other malicious code

System Abuse

  • Scrape, crawl, or use automated systems to extract data from the Service without our express written permission
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or related systems
  • Circumvent, disable, or interfere with security features of the Service
  • Use the Service in a manner that could overload, damage, or impair our infrastructure

Data and Privacy Violations

  • Collect or harvest personal information of other users without their consent
  • Account sharing is prohibited
  • Violate the privacy rights of others

4. Intellectual Property Rights

Our Intellectual Property

The Service and its entire contents, features, and functionality, including but not limited to all text, graphics, logos, icons, images, audio, video, software, code, and design, are owned by LiveWay, Inc. or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

  • Copy, reproduce, duplicate, or replicate any portion of the Service without our express written permission
  • Modify, adapt, or create derivative works based on the Service
  • Distribute, license, sell, or transfer any content or materials from the Service
  • Use our trademarks, logos, or branding without prior written consent
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

User Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not infringe on the rights of any third party
  • Your User Content complies with these Terms and all applicable laws

5. Event Listings and Venue Claims

Event Creators

If you create event listings, you agree to:

  • Provide accurate and truthful event information
  • Have the authority to promote and host the event
  • Update or cancel listings promptly if event details change
  • Comply with all applicable laws and venue requirements

Venue Managers

If you claim or manage a venue on the Service, you represent and warrant that:

  • You are the owner, authorized representative, or have explicit permission to manage the venue's presence on LiveWay
  • All venue information you provide is accurate and current
  • You have the authority to approve or manage events associated with the venue

We reserve the right to verify venue claims and remove unauthorized listings.

6. Payments and Fees

Certain features of the Service may require payment. All payment processing is handled exclusively by Stripe, a third-party payment processor. We do not collect, store, or have access to your payment card information.

By purchasing a subscription or paid feature, you agree to:

  • Pay all applicable fees and charges
  • Provide accurate billing information to Stripe
  • Authorize Stripe to charge your payment method on our behalf
  • Comply with Stripe's terms of service

Your use of Stripe is subject to Stripe's own Terms of Service and Privacy Policy.

All fees are non-refundable unless otherwise stated or required by law. We reserve the right to change pricing with reasonable notice.

Ticket Sales and Event Cancellations

If you sell tickets or charge admission to events through the Service, you are solely responsible for fulfilling your obligations to ticket purchasers. This includes, but is not limited to, handling all customer disputes, issuing refunds for cancelled or rescheduled events, and addressing any complaints arising from your event.

LiveWay, Inc. is not responsible for refunds or disputes resulting from event cancellations, venue changes, scheduling conflicts, or any other circumstances beyond our control. Service fees charged by LiveWay, Inc. on ticket sales and transactions are non-refundable, even in the event of cancellation. These fees cover payment processing costs incurred at the time of the original transaction and cannot be recovered once processed.

7. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms.

You may terminate your account at any time by contacting us or using account settings.

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your account and User Content
  • Provisions that by their nature should survive will remain in effect (including intellectual property, disclaimers, and limitation of liability)

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any defects will be corrected

We are not responsible for the accuracy, quality, or legality of events, venues, or User Content posted by third parties.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LIVEWAY, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless LiveWay, Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

11. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Informal Resolution

Before filing a formal dispute, you agree to contact us at [email protected] to attempt to resolve the matter informally.

Binding Arbitration

Any disputes arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Florida, and the arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

13. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and LiveWay, Inc. regarding the Service.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices: We may provide notices to you via email, posting on the Service, or other reasonable means.
